TERMS OF SERVICE

These Terms of Service ("Terms") constitute a legally binding contract made between you, whether personally or on behalf of an entity ("you" or "User"), and Firehill Software Solutions, LLC , located at 4539 N 22ND ST #5867; PHOENIX, AZ 85016 ("Company", "we", "us", or "our"), concerning your access to and use of our web domain located at https://logiop.com, cloud identity setups, transactional frameworks, and related customer support portals (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

1. Relationship to End User License Agreement (EULA)

Your access to, download of, or client-side interaction with our specialized designer applications, platforms, or integrated compilation engines—including all operational tiers, editions (Basic, Plus, and Ultimate) of Logiop  Studio , and associated runtime components such as Logiop Pulse —is independently and comprehensively governed by our product-specific End User License Agreement (EULA) . In the event of any operational conflict between these general platform Terms and the EULA regarding software performance, local file system boundaries, or reverse engineering disclaimers, the EULA shall take absolute legal precedence.

2. Intellectual Property & Commercial Utilization Rights

  1. Our Platform Property:  Unless otherwise indicated, the website architecture, cloud microservices, source code patterns, user interfaces, documentation, brand logos, and graphics across the Services are our proprietary property, protected under federal copyright and trademark rules.
  2. Permitted Commercial Exploitation:  Unlike generic platforms, we explicitly state that the structural models, state charts, code modules, and project blueprints you engineer and export using Logiop Studio are 100% your exclusive intellectual property . Commercial design utilization, product development deployment, and financial monetization of your exported code models are explicitly permitted, encouraged, and completely un-gated by the Company.

3. User Account Security via OAuth Architecture

To access specialized billing features and cloud-backed ticketing, you are required to establish an authenticated profile framework.

  1. Third-Party Authentication:  Our Services utilize external OAuth identity verification pipelines (such as Google, Microsoft or GitHub authentication hooks) administered via Firebase. The Company does not harvest, capture, or store custom account passwords or distinct software database handles.
  2. Account Safety:  You are uniquely responsible for maintaining the perimeter security of your underlying Google, Microsoft, GitHub, or associated provider profiles. You agree to notify us immediately if you suspect unauthorized access or database breaches affecting your connected identity metadata.

4. Prohibited Platform Activities

You agree to utilize our website infrastructure and account services strictly for authorized engineering and billing management purposes. You are explicitly prohibited from:

  1. Automating bulk script interactions, dictionary-attacks, or high-velocity denial-of-service queries targeting our Google Cloud Functions or Firebase endpoint relays.
  2. Attempting to trick, mislead, or defraud the Company or third-party gateways, particularly in billing interactions or during the deployment of your free trial authorization checks.
  3. Circumventing, disabling, or otherwise interfering with the server-side software license checking logic, database rulesets, or cloud validation headers.
  4. Deploying programmatic scrapers or bots designed to duplicate our public documentation parameters, layout paradigms, or foundational engineering tools for inclusion in competing state machine frameworks.

5. Feedback and Technical Support Submissions

  1. Feedback Assignment:  You acknowledge that any voluntary feature suggestions, optimization ideas, product critique, or conceptual notes regarding Logiop Studio provided by you to us are completely non-confidential and shall become our sole property, granting us un-restricted structural integration rights without compensation.
  2. Developer Assets Protected:  This assignment strictly excludes  any technical state maps, diagnostic project graphs, or application traces (pulse.json) that you choose to attach to system error logs or technical assistance tickets. All structural layouts and engineering designs submitted for debugging remain your property under our data minimization and privacy rules.

6. Stripe Merchant of Record Transactions & Terminations

  1. Financial Gateways:  All premium billing configurations, subscription tiers, renewals, and transaction records are managed securely via our third-party Merchant of Record layer, Stripe. Account termination, tier adjustments, and payment cancellations are bound strictly to your Stripe Customer Portal settings as described in the EULA.
  2. Termination Rights:  We reserve the right, in our sole technical discretion and without notice or financial liability, to terminate or suspend account profile relays, or block specific computing network IP addresses, to protect our Firebase database stability against active technical exploitation, code injection, or contractual fraud.

7. Aggregate Disclaimer & Limitation of Liability

  1. THE SERVICES AND THE MAIN WEBSITE PLATFORMS ARE PROVIDED ENTIRELY ON AN "AS IS" AND "AS AVAILABLE" BASELINE.
  2. IN NO EVENT WILL FIREHILL SOFTWARE SOLUTIONS, LLC, ITS MEMBERS, MANAGERS, OR SERVICE SUB-PROCESSORS BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, OR PUNITIVE LOSS PATTERNS, INCLUDING LOST REVENUE, LOCAL PROJECT TRUNCATION, DATA DELETION, SYSTEM TIMEOUTS, OR CLOUD ROUTING DISRUPTIONS CONNECTED TO YOUR USE OF THE WEBSITE ERRORS, REGARDLESS OF WARNING NOTICES.
  3. OUR COMPLETE INTEGRATED FINANCIAL LIABILITY SHALL BE GOVERNED BY THE MONETARY CAPS OUTLINED EXPLICITLY WITHIN OUR PRODUCT END USER LICENSE AGREEMENT.

8. Governing Law and Exclusive Forum

These Terms, along with your platform interaction footprint, shall be governed by and construed in accordance with the internal laws of the State of Arizona, United States , without regard to choice of law or conflict of law principles. Any formal dispute, litigation, or legal proceeding arising out of these platform terms shall be initiated and prosecuted exclusively within the state or federal courts holding jurisdiction over Maricopa County, Phoenix, Arizona.
