END USER LICENSE AGREEMENT (EULA)

This End User License Agreement ("Agreement") is a legally binding contract between you, the individual user or entity ("User" or "you"), and
Firehill Software Solutions, LLC
, located at 4539 N 22ND ST #5867; PHOENIX, AZ 85016 ("Company", "we", "us", or "our"). This Agreement governs your legal access to and use of the software application known as
Logiop Studio - Basic Edition
("Software"), including any integrated components, documentation, updates, and cloud-gated features associated with it.
By installing, caching, launching, or utilizing any portion of the Software, you explicitly acknowledge that you have read, understood, and agree to be bound by the full terms and conditions outlined in this Agreement. If you do not agree to these terms, you are strictly prohibited from accessing, downloading, or using the Software, and you must immediately terminate your interaction with the web application and clear all associated site data from your web browser.
1. License Grant & Multi-Device Permissions
Subject to your ongoing compliance with the terms of this Agreement and timely payment of any applicable subscription fees, Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to execute and use the Software client-side within a compatible web browser. This license grant is governed by the following operational constraints:

Per-User Bound Enforcement:
The license is strictly bound to a single user identity verified by the Unique Identifier (UID) and Email Address authenticated during the software sign-in sequence. Shared or corporate-pooled credentials under a single UID are strictly prohibited.

Multi-Device Access:
The subscribed User is granted permission to deploy, local-cache, and interact with the Software across multiple personal or company-issued computational devices and browser environments, provided that access is confined strictly to the single registered and authenticated account holder.
2. Progressive Web Application (PWA) Architecture & Global Updates
The Software is engineered and deployed as a singular, unified Progressive Web Application (PWA) that encompasses all existing and future functional tiers, editions, and compilation engines. Access to features is governed dynamically according to the following framework:

Dynamic Feature Gating:
Functional tiers are controlled entirely on the application's backend server environment. The client-side interface will unlock or restrict advanced utilities based exclusively on real-time verification of the User's active subscription status.

Global Update Mechanism:
Because the Software operates via a shared global deployment codebase, all upgrades, maintenance patches, security fixes, and system improvements are distributed globally and concurrently to all users across all structural editions. Upgrades are bundled directly within the subscription model at no additional immediate cost to the User.

Cache Refresh Responsibility:
While the Company leverages automated service workers and application caching mechanisms to push updates, the User bears sole structural responsibility for maintaining an environment that permits browser caches, local storage scripts, and PWA instances to refresh to the latest live version to guarantee security and structural compatibility.
3. Subscription Lifecycles, Billing Management, & Limited Mode Execution
Your access to the editing and full-design utilities of the Software is contingent on an active paid subscription or a permitted 30-day free trial lifecycle. Management of this cycle is strictly bounded by the following protocols:

Operational Degradation to Limited Mode:
Upon the exact boundary expiration of a 30-day free trial or any paid billing period where a renewal transaction fails or is canceled, the Software will automatically degrade into a "Limited Mode." Within Limited Mode, the User retains the perpetual right to view preexisting hierarchical layout structures and execute project file exports. However, the ability to modify project parameters, edit behavioral code structures, add states, or manipulate properties will be completely locked until a valid financial subscription tier is re-established.

Merchant of Record and Financial Operations:
All financial transactions, card verifications, subscription states, tax reporting, and currency processing are managed entirely by our third-party Merchant of Record and payment gateway provider, Stripe. Any transactional failures, card rejections, chargebacks, or localized banking errors are strictly between the User and Stripe. The User agrees to hold the Company entirely harmless and free from any liability regarding payment engine disruptions or billing platform errors.

Cancellations and Downgrades:
Users may voluntarily cancel or downgrade their active subscription tier at any time through the integrated self-service Stripe customer portal. Cancellations or downgrades take structural effect at the precise terminal boundary of the current pre-paid billing cycle. No immediate fractional refunds or cash reimbursements will be issued for unused time. Any positive monetary balances generated by mid-cycle downgrades will be logged as a non-refundable credit within the User's Stripe account profile, applicable strictly toward future subscription renewals or standalone digital add-ons provided by the Company.

Instant Upgrades:
Upgrades requested via the Stripe management portal process in real-time. Gated features corresponding to the higher tier are unlocked immediately upon payment authorization.

Company Cancellation Discretion:
The Company explicitly retains the unilateral right to cancel any User subscription or access token at any time, with or without cause. In the event of a cancellation initiated directly by the Company without cause, a prorated refund mapping to the remaining unused fractional subscription time will be credited back to the original payment instrument via Stripe.

Pricing Adjustments:
The Company reserves the unilateral right to adjust the pricing models of editions, subscriptions, or specialized architectural add-ons at any time. Notice of structural pricing changes will be communicated via your registered email prior to execution.
4. Intellectual Property Rights & Embedded Technology Controls
The Software is licensed, not sold, to the User. All rights, title, and ownership interest in the Software remain exclusively with the Company.

Proprietary Codebase:
The structure, sequence, organization, compiled WebAssembly binaries, JavaScript layers, CSS styles, icons, brand marks, and underlying source code of the Software represent trade secrets and copyrighted assets of the Company. All rights not expressly granted to you under Section 1 are explicitly reserved by Firehill Software Solutions, LLC.

Logiop Pulse Embedment:
The runtime compilation and execution library known as
Logiop Pulse
is natively embedded within the core PWA deployment of Logiop Studio. All proprietary interests, copyrights, trade secrets, and underlying patents relating to Logiop Pulse remain entirely with the Company. No separate extraction, binary execution, or standalone commercial use of the embedded Logiop Pulse components is permitted under this Basic Edition license.

User Asset Ownership Guarantee:
The Company claims zero ownership, right, or title over the data models, state machine structures, schema configurations, or files compiled, designed, and exported by the User via the application interface. All user-generated code designs, system architectures, and layout files remain 100% the intellectual property of the User.
5. Data Privacy, Localized Client Architecture, & Absolute Liability Exemptions
The Software utilizes an advanced client-side processing architecture designed to maximize user data privacy by avoiding centralized cloud storage of project assets. The legal boundaries governing this setup are defined as follows:

Localized Storage Blueprint:
All project workspace folders, active design schemas, state configurations, and exported state machine outputs are saved and processed directly within the user's localized machine file system via the web browser’s File System Access (FSA) API and cached locally inside IndexedDB structures.

Cloud Data Boundaries:
The Company's remote cloud environment and Firestore databases exclusively collect, store, and process core functional metadata consisting of: User authentication profiles (UID, display name, verified email address, and oAuth provider profile photo URLs), subscription licensing state (active tiers, renewal deadlines), and explicitly transmitted support tickets or error logs.

Cloud-Synchronized Folder Prohibition:
The User is strictly prohibited from configuring or selecting a live cloud-synchronized directory (including, but not limited to, Microsoft OneDrive, Google Drive, Dropbox, Box, or iCloud Drive) as the active workspace folder for Logiop Studio. The Software is explicitly un-architected to handle external network sync file-locks. The Company assumes absolute zero liability for file write collisions, indexing delays, encryption lockouts, or data corruption arising from the user's violation of this infrastructure constraint.

Browser API Permissions:
The persistent functional capacity of the PWA is strictly conditional upon the User granting explicit browser-level read and write permissions to the targeted local workspace directory. If browser permissions are rescinded or blocked by the User, the Software will fail to operate, and the Company is exempt from liability regarding resultant operational pauses.

Single-Instance Execution Limit:
The Software is designed to be executed strictly by a single user through a single active browser instance and tab context at any given moment. Concurrent workspace manipulation across multiple tabs, split windows, or distributed machines is completely unsupported. The Company is legally exempt from any liability regarding localized file truncation or database corruption caused by concurrent access patterns.

Absolute Data Loss Disclaimer:
Under no circumstances shall Firehill Software Solutions, LLC be held legally or financially liable for the loss, deletion, distortion, encryption failure, or corruption of any user workspace directories, configuration metadata, or design files, regardless of whether such data loss stems from a software error, OS malfunction, browser update, or physical hardware failure. The User maintains sole, absolute responsibility for creating and verifying independent backup copies of their local design assets.

Consent-Based Diagnostic Tracking:
Users may voluntarily choose to include client-side system logs, execution stack traces, and application flow telemetry (such as `pulse.json` runtime diagnostics) when lodging technical support tickets or crash reports. The Software will never proactively, invisibly, or autonomously transmit local system logs or code diagnostics to the Company's servers without the explicit, manual trigger and consent of the User executed via the graphical user interface.

Feedback Assignment:
You acknowledge that any voluntary feature suggestions, optimization ideas, product critique, or conceptual notes regarding Logiop Studio and Logiop Pulse provided by you to us are completely non-confidential and shall become our sole property, granting us un-restricted structural integration rights without compensation.

Developer Assets Protected:
This assignment
strictly excludes
any technical state maps, diagnostic project graphs, or application traces (pulse.json) that you choose to attach to system error logs or technical assistance tickets. All structural layouts and engineering designs submitted for debugging remain your property under our data minimization and privacy rules.

Communication Indemnity:
The Company assumes zero legal or privacy liability for any sensitive, proprietary, classified, or personally identifying data voluntarily attached, written, or disclosed by the User within technical support communications, emails, or attached debugging files.
6. Offline Capability & Network Requirements
Although the Software is structurally engineered to cache locally and permit offline design operations for regular ongoing usage, a live, un-throttled internet connection is mandatory to execute the following administrative actions:

Validation of automated subscription state checks performed by the client application upon crossing a billing period or trial boundary.

Manual account sign-out sequences and subsequent oAuth sign-in re-authentication actions.

Initial application setup and directory re-mapping sequences required if browser application storage, IndexedDB, or localized site security keys are wiped clean by user utility configurations.

The secure transmission and uploading of user-generated technical support tickets and diagnostic error reports.
7. Security Restrictions & Client-Side Tampering Prohibitions
The User agrees to interact with the Software strictly through the authorized, unmodified user interface provided by the Company. The following actions are strictly illegal and constitute a material breach of this contract:

Code Injection and Script Tampering:
You shall not alter, manipulate, intercept, or inject custom code scripts into the running WebAssembly binary stack, JavaScript core files, or DOM HTML elements via browser Developer Tools, local proxy servers, or automated debugging injection tools. Any attempt to modify client-side execution parameters to forge subscription variables, extend licensing clocks, bypass feature gates, or spoof authorization tokens communicating with our Google Cloud Functions or Firestore infrastructure is strictly prohibited.

Reverse Engineering:
You are explicitly forbidden from decompiling, reverse compiling, disassembling, extracting, or attempting to reconstruct the human-readable source code of the PWA binaries, compiled Blazor assets, or embedded Logiop Pulse DLL assemblies.

Contractual Remedy:
Any automated or manual detection of client-side tampering, code exploitation, or unauthorized backend server calls will result in the immediate, permanent, non-refundable termination of your user account, revocation of your software license, and the permanent blocking of your authentication tokens and IP subnets from our cloud servers. The Company reserves the right to pursue civil statutory damages under applicable federal computing laws.
8. Technical Support Service Level Limitations
Technical support for the Software is provided strictly as a best-effort service and is accessible exclusively via email channels or the integrated application ticketing mechanism. The Company operates without formal Service Level Agreements (SLAs) or guaranteed turnaround deadlines. While we commit to making reasonable commercial efforts to address system bugs and operational inquiries promptly, we offer no warranty that every reported issue will be resolved or that response timelines will meet specific consumer expectations.
9. Future Roadmap & Product Development Disclaimer
The User explicitly acknowledges and agrees that advanced operational tiers—including the "Plus" and "Ultimate" Editions of Logiop Studio—are currently independent concept assets under development. The Company offers no structural guarantee, legal commitment, or chronological assurance regarding final deployment dates, core specifications, or whether such advanced versions will be commercialized or released to the public market at all. Subscriptions to the Basic Edition are purchased strictly based on current live functionality and are completely unbundled from future roadmap expectations.
10. Absolute Disclaimer of Warranties
TO the MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE, INTEGRATED ARCHITECTURES, AND REMOTE SUPPORT INFRASTRUCTURES ARE PROVIDED ENTIRELY "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. FIREHILL SOFTWARE SOLUTIONS, LLC EXPLICITLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SYSTEM INTEGRATION, TITLE, QUIET ENJOYMENT, OR NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, THE COMPANY MAKES NO REPRESENTATION, LEGISLATION, OR WARRANTY THAT THE SOFTWARE WILL OPERATE UNINTERRUPTED, COMPLETELY ERROR-FREE, SECURELY, OR THAT IT WILL RETAIN SEAMLESS INTEROPERABILITY WITH ALL PAST OR FUTURE BROWSER ENGINE REVISIONS (INCLUDING CHROMIUM, V8, BLINK, OR WEBKIT FRAMEWORKS), DRIVERS, OR LOCAL OPERATING SYSTEMS.
11. Comprehensive Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FIREHILL SOFTWARE SOLUTIONS, LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES WHATSOEVER. THIS EXCLUSION INCLUDES, WITHOUT LIMITATION, DAMAGES FOR LOSS OF SYSTEM PROFITS, BUSINESS INTERRUPTION, DATA LOSS, CORRUPTION OF EXTERNAL DIRECTORIES, SOFTWARE COLLISION, LOCAL FILE TRUNCATION, OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES ARISING OUT OF OR COUPLING WITH THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF THE COMPANY HAS BEEN EXPLICITLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE TOTAL AGGREGATE FINANCIAL AND LEGAL LIABILITY OF THE COMPANY UNDER ANY JURISDICTIONAL THEORY OF CONTRACT, TORT, OR STATUTORY INDEMNITY SHALL BE STRICTLY CAPPED AT AN AMOUNT NOT EXCEEDING THE ACTUAL CASH SUM FEES PAID BY THE USER TO THE COMPANY IN THE TWELVE (12) MONTH LIFECYCLE IMMEDIATELY PRECEDING THE LODGING OF THE CLAIM, OR FIVE UNITED STATES DOLLARS ($5.00 USD), WHICHEVER REPRESENTS THE GREATER SUM.
12. International Use & Export Control Compliance
The Software is controlled, hosted, and deployed out of cloud server infrastructure located inside the United States of America. You explicitly represent, warrant, and contractually attest that:

You are not physically located within a geographic territory or nation that is subject to an active United States Government embargo or trade sanction (including, but not limited to, Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, or Luhansk regions of Ukraine).

You are not listed on any United States Government indices of prohibited, restricted, or denied parties (such as the Office of Foreign Assets Control's Specially Designated Nationals and Blocked Persons List, or the Department of Commerce's Entity List).
If you choose to download or access the Software from jurisdictions outside the United States, you do so entirely at your own volition and assume absolute liability for legal compliance with all localized regional export parameters, regulations, and multi-national boundaries.
13. Cross-Border Privacy Frameworks & International Data Transfers
By establishing a user account, authenticating credentials, and executing the Software, you explicitly acknowledge and agree that your non-workspace transactional and identity metadata (including Name, Verified Email, oAuth Unique UID, and Stripe Transaction Records) will be routed, stored, and processed inside the United States of America, where our server operations are deployed. If you are accessing the Software from regions possessing stringent localized data governance acts—such as the European Union General Data Protection Regulation (GDPR), the United Kingdom Data Protection Act, or the India Digital Personal Data Protection (DPDP) Act—your voluntary interface engagement and script launch constitutes explicit, unambiguous consent to the transfer, storage, and processing of your functional account data inside the United States under our operational security guidelines.
14. Statutory Consumer Rights Carve-Out
Certain sovereign states and geopolitical jurisdictions do not legally permit the blanket exclusion of specified implied warranties or the complete restriction of liability for direct physical, consumer, or consequential harm. If you are accessing the Software as a consumer residing in the European Union, the United Kingdom, Australia, or any territory holding non-waivable consumer protection acts, the warranty exclusions and liability limits outlined in Section 10 and Section 11 apply strictly to the maximum extent permitted under your local statutory framework, and do not strip away or void mandatory, non-waivable legal privileges holding jurisdiction over your consumer status.
15. Governing Law & Dispute Resolution
This Agreement, its core interpretation, performance bounds, and any legal claims or disputes arising directly or indirectly out of its framework shall be governed exclusively by, and construed strictly in accordance with, the internal laws of the
State of Arizona, United States of America
, without giving effect to any principles or choices of law that would dictate the application of the laws of an alternative jurisdiction.
You and the Company explicitly agree that any formal litigation, arbitration, or legal hearing arising hereunder shall be initiated and prosecuted exclusively within the state or federal courts sitting in Maricopa County, Phoenix, Arizona, United States of America. Both parties hereby voluntarily submit and waive any objections to the personal jurisdiction and venue constraints of these targeted judicial forums.
